TERMS AND CONDITIONS OF SALE AND RENTAL

These Terms and Conditions (“Agreement”) govern the sale and rental of vending machines, equipment, parts, and related services provided by VendingMachinePH (“Seller”) to the Buyer or Renter (“Customer”). By purchasing or renting any vending machine or related equipment, the Customer agrees to comply with the following terms.

1. Definitions

1.1 Seller refers to VendingMachinePH, including its employees, representatives, and authorized agents.

1.2 Customer refers to the individual or business purchasing or renting vending machines or related equipment.

1.3 Product refers to vending machines, accessories, spare parts, and related equipment.

1.4 Rental Machine refers to vending machines provided temporarily under a rental agreement and which remain the property of the Seller.

2. Orders and Acceptance

2.1 All orders are subject to acceptance by the Seller.

2.2 An order is considered confirmed once payment has been received or a written agreement has been executed.

2.3 The Seller reserves the right to cancel or refuse any order at its discretion.

2.4 The Seller reserves the right to suspend or delay processing of any order in the event of incomplete payment, verification issues, or failure to comply with required documentation.

3. Pricing and Payment

3.1 All prices are stated in Philippine Pesos (PHP) unless otherwise specified.

3.2 Full payment must be completed before the release or delivery of any machine unless otherwise agreed in writing.

3.3 Prices may change without prior notice prior to confirmation of the order.

3.4 Ownership of the vending machine shall remain with the Seller until full payment has been received. The Seller reserves the right to withhold delivery, suspend services, or recover the unit in case of non-payment.

3.5 Currency Adjustment
Prices are subject to foreign exchange fluctuations (USD). For installment payments, the Seller reserves the right to adjust the remaining balance based on the prevailing exchange rate at the time payment is due. Prices are fixed only upon full payment.

4. Delivery and Installation

4.1 Delivery schedules are estimates and may change due to logistics, supply delays, weather conditions, or other unforeseen circumstances.

4.2 The Customer must ensure the delivery location is accessible and suitable for the installation of the vending machine.

4.3 Additional costs for difficult access, special installation requirements, or relocation may be charged to the Customer.

4.4 The Seller shall not be liable for delays caused by manufacturing lead times, supplier issues, shipping delays, customs processing, or events beyond its control.

5. Ownership and Risk Transfer

5.1 Ownership of purchased machines transfers to the Customer only after full payment has been received.

5.2 Risk of damage, loss, or theft transfers to the Customer upon delivery or release of the machine.

5.3 Rental machines remain the sole property of the Seller at all times.

6. Machine Placement and Environmental Protection

6.1 All vending machines must be placed indoors and protected from direct sunlight, rain, typhoons, flooding, or extreme environmental conditions.

6.2 The Customer must ensure that the machine is installed in a safe, dry, and ventilated environment.

6.3 Machines exposed to outdoor conditions without proper protection may suffer damage, and the Seller shall not be responsible for any resulting malfunction or deterioration.

7. Location Security Requirements

7.1 The Customer is responsible for placing the vending machine in a secure and monitored location.

7.2 The Customer is strongly encouraged to ensure the location has security personnel, guards, or CCTV surveillance where possible.

7.3 The Seller shall not be liable for any damage, theft, vandalism, or loss caused by inadequate security at the machine location.

8. Insurance Responsibility

8.1 The Customer may obtain insurance coverage for the vending machine to protect against theft, damage, vandalism, natural disasters, or other risks.

8.2 The Seller shall not be responsible for losses caused by theft, natural disasters, fire, flooding, or other uncontrollable events.

9. Use and Maintenance

9.1 The Customer is responsible for operating and maintaining the vending machine according to provided manuals and instructions.

9.2 Unauthorized modification, repair, or tampering with the machine is strictly prohibited.

9.3 The Seller shall not be liable for damages resulting from misuse, unauthorized modifications, or improper operation.

9.4 The Customer is responsible for ensuring that any required mobile data, system load, or connectivity service associated with the vending machine is regularly maintained and active. Failure to maintain sufficient data or system load may result in machine malfunction, connectivity loss, payment system interruption, or operational issues. The Seller shall not be held responsible for any problems arising from inactive or insufficient data connectivity.

9.5 The Customer acknowledges that vending machine operation is a business venture subject to location, demand, pricing, and management decisions, and the Seller does not guarantee sales performance, return on investment, or profitability.

10. Keys, Lock, and Machine Responsibility

10.1 The Customer is responsible for keeping all assigned vending machine keys secure.

10.2 Lost, stolen, or misplaced keys may require lock replacement for security purposes.

10.3 The cost of lock replacement, new keys, and related servicing shall be the responsibility of the Customer.

10.4 The Seller may deploy a technician for inspection, repair, or troubleshooting when necessary. Technician deployment is typically scheduled within one (1) day and up to a maximum of two (2) days, depending on technician availability and scheduling. Service visits may be subject to applicable service fees and parts replacement costs. For vending machines located outside Metro Manila, the Buyer or Renter shall be responsible for covering the technician’s transportation, accommodation, and related travel expenses, in addition to the standard service fee.

10.5 Requests for technician deployment shall be subject to a service fee of ₱2,000 within Metro Manila and ₱3,000 for locations outside Metro Manila. For locations outside Metro Manila, the Buyer or Renter shall also be responsible for the technician’s transportation, food, and accommodation expenses, if necessary. Parts replacement and additional repair costs shall be charged separately.

11. Rental Machine Responsibility and Damage

11.1 When a vending machine is rented, the machine remains the property of the Seller.

11.2 The Renter is responsible for ensuring the machine is properly used and protected during the rental period.

11.3 The Renter shall be liable for any damage to the vending machine, whether intentional or unintentional, including but not limited to:

  • Physical damage to the machine

  • Internal component damage

  • Damage caused by mishandling

  • Electrical damage due to improper power supply

  • Vandalism occurring at the rental location

  • Damage caused by environmental exposure

  • Unauthorized tampering or modification

11.4 If the machine is damaged during the rental period, the Renter agrees to pay for all repair or replacement costs based on the Seller’s standard pricing.

11.5 The Seller reserves the right to inspect the machine and assess damages upon return.

12. Returns, Refunds, and Cancellation

12.1 All sales are final and non-refundable unless otherwise stated in writing.

12.2 Rental payments and deposits are non-refundable; however, rental bookings may be rescheduled subject to availability or transferred to another party with prior approval from the Seller.

12.3 Approved returns may be subject to inspection and applicable fees.

12.4 If the Buyer cancels the purchase after the contract has been signed, the Seller may retain thirty percent (30%) of the total machine price as a cancellation fee. If the Buyer has paid less than thirty percent (30%), the Buyer shall pay the remaining amount to complete the thirty percent (30%) cancellation fee.

12.5 If the Buyer cancels the order after the vending machine has been completed or prepared for shipment, a sixty percent (60%) cancellation penalty of the total machine price shall apply.

12.6 The Buyer is responsible for ensuring the vending machine is properly maintained, operational, and subject to regular Preventive Maintenance (PMP).

12.7 If the vending machine is not properly maintained, not operational, neglected, or abandoned, the Seller reserves the right to repossess the vending machine and reclaim ownership.

12.8 All sales are final unless otherwise expressly agreed in writing. Refunds shall not apply once production, customization, or shipment preparation has commenced.

13. Limitation of Liability

13.1 The Seller shall not be liable for any indirect, incidental, or consequential damages resulting from the use or inability to use the vending machine.

13.2 The Seller’s maximum liability shall not exceed the purchase price paid for the product.

13.3 The Buyer, Renter, or vending machine operator agrees that VendingMachinePH shall not be held liable for any losses, damages, lost profits, business interruption, or operational issues arising from the use or operation of the vending machine. By purchasing or renting the machine, the Buyer or Renter agrees to release and hold harmless VendingMachinePH from any claims or legal actions, except in cases of proven gross negligence by the Seller.

13.4 The Customer expressly waives any claim against the Seller for business losses, expected returns, or revenue projections.

14. Force Majeure

The Seller shall not be held liable for delays or failure to fulfill obligations due to circumstances beyond its control, including but not limited to:

  • Natural disasters

  • Typhoons

  • Floods

  • Transportation disruptions

  • Supply shortages

  • Government restrictions

15. Governing Law

This Agreement shall be governed and interpreted in accordance with the laws of the Republic of the Philippines.

16. Acceptance of Terms

By purchasing or renting a vending machine from the Seller, the Customer acknowledges that they have read, understood, and agreed to these Terms and Conditions.

17. Warranty and Aftersales Support Limitation

All vending machines are covered by a one (1) year warranty for spare parts and motor components only.

This warranty:

  • Covers replacement of defective parts only

  • Excludes labor, transportation, and on-site services

If parts are not locally available:

  • Express shipping (USD $50–$70): 5–12 days

  • Standard shipping (free): 1–2 months

The Seller shall not be liable for delays due to supplier availability, shipping, or customs.

Aftersales support is limited to remote assistance (video, chat, manuals). On-site support is optional and subject to fees.

18. Third-Party Payment Disclaimer

Cashless payment systems are handled by independent providers.

The Seller:

  • Has no control over fees or pricing

  • Is not liable for system issues or failures

  • Does not manage transactions

All disputes must be directed to the payment provider.

19. Dispute Resolution

The Customer agrees to:

  1. Provide written notice of issues

  2. Allow at least 30 days for resolution

  3. Engage in good-faith negotiation

Failure to comply may result in dismissal of claims.
